Terms of Service

Effective Date: 1 January 2026

1. Agreement

These Terms of Service ("Terms") govern the provision of branding and creative services by northplatformworks ("we," "us," or "our"), registered at Rugårdsvej 80, 5000 Odense C, Danmark, to any individual or entity ("Client," "you") engaging our services.

2. Scope of Services

The scope, deliverables, timeline, and fees for each engagement are defined in a written proposal or statement of work ("SOW") agreed upon by both parties. Any work beyond the agreed scope shall be subject to a separate quotation.

3. Fees & Payment

  • Fees are as stated in the agreed SOW and are quoted in Euros (EUR) unless otherwise specified.
  • A deposit of 50% of the total project fee is required before work commences.
  • Remaining balances are due within 14 days of project completion or as per the milestone schedule in the SOW.
  • Overdue payments accrue interest at a rate of 1.5% per month.
  • All prices are exclusive of applicable VAT, which will be added at the prevailing rate.

4. Client Responsibilities

The Client agrees to:

  • Provide timely feedback, approvals, and materials necessary for project progress.
  • Designate a single point of contact for all communications.
  • Ensure all content and materials provided do not infringe third-party rights.

Delays caused by the Client may result in adjusted timelines without penalty to northplatformworks.

5. Intellectual Property

Upon full payment of all outstanding fees, the Client receives full ownership of all final deliverables and associated intellectual property rights. northplatformworks retains the right to display completed work in portfolio and promotional materials unless otherwise agreed in writing.

Work-in-progress, preliminary concepts, and unused materials remain the intellectual property of northplatformworks unless expressly transferred.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the course of the engagement. This obligation survives the termination of the agreement for a period of 2 years.

7. Limitation of Liability

To the maximum extent permitted by law, northplatformworks shall not be liable for indirect, incidental, or consequential damages. Our total liability under any engagement shall not exceed the total fees paid by the Client for that specific project.

8. Termination

Either party may terminate the agreement with 14 days' written notice. In the event of termination, the Client shall pay for all work completed up to the date of termination. Deposits are non-refundable once work has commenced.

9. Governing Law

These Terms are governed by the laws of the Kingdom of Denmark. Any disputes shall be subject to the exclusive jurisdiction of the courts of Odense, Denmark.

Refund Policy

Effective Date: 1 January 2026

1. General Principles

At northplatformworks, we are committed to delivering high-quality branding services. Our refund policy is designed to be fair and transparent.

2. Deposit & Advance Payments

  • The initial 50% deposit is non-refundable once work has commenced, as it covers project initiation, resource allocation, and preliminary creative development.
  • If cancellation occurs before work has commenced, a full refund of the deposit will be issued within 14 business days.

3. Milestone-Based Projects

For projects with milestone-based payments, refunds are calculated based on the proportion of completed work. Completed milestones are non-refundable. Unstarted milestones will be refunded in full.

4. Completed Deliverables

Once a deliverable has been approved by the Client and delivered, it is considered accepted. Refunds for completed and accepted deliverables are not available. If a deliverable materially deviates from the agreed SOW, we will first attempt to remedy the issue at no additional cost.

5. Requesting a Refund

To request a refund, contact us at [email protected] with your project details and the reason for the request. We will review and respond within 7 business days.

6. Dispute Resolution

In the event of a dispute regarding refunds, both parties agree to attempt resolution through good-faith negotiation before pursuing any formal legal proceedings.

7. Consumer Rights

If you are a consumer within the European Union, you may have additional statutory rights under applicable consumer protection law. Nothing in this policy is intended to limit those rights.
